Update on the simplified tender offer for North Atlantic Energies shares<\/b><\/p>\n
Nanterre, June 8, 2026 <\/b> North Atlantic France recalls that, on November 28, 2025, it announced the successful closing of its acquisition of 82.89% of the share capital and voting rights of Esso S.A.F, renamed North Atlantic Energies, at a price of 26.19 per share.<\/p>\n
North Atlantic France announced on November 10, 2025 that it will file a mandatory tender offer under the simplified procedure (the Offer<\/b>) for the remaining shares of North Atlantic Energies it does not own at a price of 28.93 per share.<\/p>\n
North Atlantic France informs the public that it will not request the implementation of a squeeze-out procedure as part of the Offer.<\/p>\n
The Offer, therefore with no squeeze-out procedure, will be filed with the Autorit\u00e9 des march\u00e9s financiers<\/i> (the AMF<\/b>) once the independent experts work has been finalised. The Offer documentation, including the independent expert’s fairness opinion on the financial terms of the Offer, will be submitted to the AMF for review, and the Offer will only open once the AMF has issued its compliance decision.<\/p>\n
